GENERAL TERMS AND CONDITIONS OF SERVICE (T&Cs)

1. Purpose and scope

These General Terms and Conditions of Service (hereinafter « T&Cs ») govern the contractual relationship between District Group (including its subsidiaries: District Agency, District Events, and District Training) and any natural or legal person (hereinafter « the Client ») engaging our professional services.

By signing a quote or starting a project with any entity of District Group, the Client acknowledges having read and accepted these T&Cs without reservation.

2. Our services

District Group provides specialized services through its three core divisions:

  • District Agency: Digital strategy, web development (showcase, e-commerce, custom platforms), graphic design, UI/UX, and community management.

  • District Events: Organization and consulting for business events, corporate forums, and professional gatherings.

  • District Training: Professional training programs designed for individuals and corporations, with a focus on IT and digital expertise.

3. Quotations and orders

Each service is subject to a specific quotation (Devis) sent to the Client. The contract is considered final only upon:

  1. The Client’s signature of the quotation (digital or physical).

  2. The payment of the required deposit (usually 40% of the total amount, unless otherwise specified).

4. Client obligations

To ensure the successful delivery of projects, the Client agrees to:

  • Provide all necessary information, text, images, and technical access within the agreed-upon timeframe.

  • Designate a single point of contact for project approvals.

  • District Group shall not be held liable for delays caused by the Client’s failure to provide required elements.

5. Payment terms

  • Currency: Payments are made in Tunisian Dinars (TND) for Tunisian residents and in EUR or USD for international clients, as specified in the invoice.

  • Deadlines: Invoices are payable upon receipt or according to the schedule defined in the specific contract.

  • Late Payments: Any delay in payment may result in the immediate suspension of ongoing services and the application of late interest fees in accordance with Tunisian commercial law.

6. Intellectual property

  • Ownership: District Group remains the owner of all tools, codes, and methodologies developed during the project.

  • Transfer of Rights: The ownership of the final deliverables (logos, websites, strategies) is transferred to the Client only upon full payment of the total project fee.

  • Portfolio Rights: Unless a written Non-Disclosure Agreement (NDA) is signed, District Group reserves the right to display the work performed for the Client in its professional portfolio and marketing materials.

7. Confidentiality

Both parties commit to keeping all information, documents, and data exchanged during the execution of the services strictly confidential. This obligation remains in effect for two (2) years following the end of the collaboration.

8. Limitation of liability

District Group commits to performing its services with professional diligence (Obligation de moyens). Our liability is strictly limited to the amount of the specific service that caused the dispute. We cannot be held liable for indirect damages, loss of turnover, or data loss resulting from third-party hosting or external factors.

9. Cancellation and termination

In the event of cancellation by the Client after work has commenced, any deposits paid will be retained by District Group as compensation for work performed and resources mobilized.

10. Governing law and jurisdiction

These T&Cs are governed by Tunisian Law. For international contracts, they also adhere to general principles of international commercial law. In the event of a dispute that cannot be resolved amicably, the courts of Tunis, Tunisia shall have exclusive jurisdiction.
